Terms of Service
§1. GENERAL PROVISIONS
Scope
These Terms of Service define the rules of B2B cooperation between WN Logic (Integrator) and the Client. The service consists of the implementation and maintenance of a Virtual Reception system.
Role of WN Logic
The Integrator declares that it is not a producer of AI software, a provider of Large Language Models (LLM), nor a telecommunications operator. The Integrator’s role is limited to the configuration of tools provided by third parties.
§2. COOPERATION MODEL AND SCOPE OF SERVICE
The Service Provider executes orders in two variants:
Variant A: Managed Model (Standard)
„Managed Service”. The infrastructure remains the property of the Integrator. The subscription covers the variable costs of AI providers (Vapi.ai/OpenAI) up to an established minute limit. The Integrator exercises full technical supervision.
Variant B: Independent Model (Expert)
One-time installation on Client accounts. The Client becomes the system administrator and independently pays external providers (SuperVoIP, Vapi.ai, Make, SMSAPI). WN Logic support is paid additionally.
§3. OBLIGATIONS AND TECHNICAL LIMITATIONS
External Providers
The operation of the Virtual Reception depends on independent provider services: SuperVoIP (SIP Trunk), Vapi.ai (Voice AI), Make.com (automation), SMSAPI (SMS).
Nature of AI (Cognitive Errors)
The system is based on generative artificial intelligence. The Integrator implements defensive mechanisms; however, the bot may commit logical errors (hallucinations), for which the Integrator bears no liability.
Call Forwarding
The Client is obliged to activate call forwarding on their phone to the technical number indicated by the Integrator on their own.
§4. PAYMENTS
Setup Fee and Subscription
The Setup Fee is non-refundable. Subscription is payable in advance by the 10th day of each month.
Service Suspension
Failure to pay on time entitles the Integrator to suspend service provision (deactivation of the technical number and AI scenario).
§5. LIMITATION OF LIABILITY
Exclusions
The Service Provider is not liable for failures of external systems (e.g., failure of Vapi.ai, OpenAI, SuperVoIP).
Liability Limit
Liability is limited to actual damage (no liability for lost profits). Total liability is limited in amount to the height of the last Subscription.
§6. SECURITY PROCEDURES (HARD CAP)
Hard Cap Mechanism
In the Managed Model, the system possesses a rigid minute limit. Upon its utilisation, the system automatically switches to Voicemail without AI participation.
Service Restoration
Activation of the AI module occurs automatically in the new billing period or after purchasing a minute package.
§7. & §8. COMPLAINTS AND FINAL PROVISIONS
Complaints and Termination
Complaints: kontakt@wnlogic.pl. The Agreement in the Managed Model has a 1-month notice period. In the Independent Model, resignation is immediate (cessation of account payments).
Courts and Law
In matters not regulated, the Civil Code applies. The competent court is the court of the Service Provider’s registered seat.
